1. Acceptance of Terms
By accessing, downloading, installing, or using the Promomax.ai application, website, or related services (collectively, the "Service"), you agree to be legally bound by these Terms of Service ("Terms").
If you do not agree to these Terms, do not use the Service.
2. Eligibility
You must be at least 18 years old and legally capable of entering into a binding contract to use the Service. By using Promomax.ai, you represent and warrant that you meet these requirements and that you have authority to act on behalf of any business you represent.
3. User Accounts & Security
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities conducted under your account
- Ensuring authorized use only
You agree to notify us immediately of any unauthorized access or security breach. Promomax.ai is not responsible for losses caused by unauthorized account access.
4. User Content & Ownership
4.1 Your Content
You retain ownership of any content you upload or provide (including images, videos, text, logos, branding, and materials).
By uploading content, you grant Promomax.ai a worldwide, non-exclusive, royalty-free, sublicensable license to use, process, modify, display, and distribute your content solely for providing the Service.
4.2 Your Responsibility for Content
You are solely responsible for ensuring you have all rights, permissions, and licenses for any content you upload or publish, including but not limited to:
- Copyright ownership or licenses
- Music licenses
- Model and property releases
- Trademarks and branding rights
- Compliance with all applicable laws and regulations
Promomax.ai does not verify ownership or legality of user content.
4.3 Promomax.ai Intellectual Property
All software, AI systems, algorithms, designs, interfaces, trademarks, and proprietary technology used by Promomax.ai are owned by Promomax.ai and protected by intellectual property laws.
You may not copy, reverse engineer, resell, or exploit any part of the Service without written permission.
5. Prohibited Uses
You agree NOT to use the Service to create, upload, generate, or distribute content that:
- Violates intellectual property rights
- Uses unlicensed music or media
- Is illegal, fraudulent, deceptive, or misleading
- Is defamatory, abusive, obscene, or harmful
- Violates platform rules or advertising laws
- Contains malware or malicious code
- Impersonates individuals or entities
Violation may result in suspension or termination without notice.
6. Automated Posting & Scheduling Authorization
By enabling scheduling, auto-posting, or automation features, you expressly authorize Promomax.ai to generate, schedule, and publish content on your behalf to selected third-party platforms.
You acknowledge and agree that:
- Due to content volume, not all generated content is displayed by default
- You are provided tools to review, pause, edit, or disable posting
- You approve all content generated under your selected settings
- You assume full responsibility for all published content
- Promomax.ai acts solely as a technical service provider, not a publisher
6a. Fair Use Policy — Unlimited Posting
Our unlimited posting feature is designed to give you maximum flexibility. While we allow unlimited posts under normal use, we do have a fair-use policy in place to protect the integrity of our service. If we detect abnormal or abusive usage—such as automated bulk posting or disproportionate activity—we reserve the right to review and limit such actions. We aim to ensure all customers can enjoy reliable and fair access to the platform.
7. AI-Generated Content Disclaimer
Promomax.ai uses artificial intelligence to generate text, images, videos, captions, blogs, stories, suggestions, translations, and other materials.
You acknowledge and agree that:
- AI output may be inaccurate, incomplete, misleading, offensive, or inappropriate
- AI content is generated automatically without human review
- AI content may unintentionally resemble third-party material
- Promomax.ai does not guarantee originality, accuracy, legality, or compliance
- You are solely responsible for reviewing, approving, and using AI-generated content
To the maximum extent permitted by law, Promomax.ai is not liable for damages, claims, or losses arising from AI-generated content.
8. AI Translations Disclaimer
AI-powered translations are provided "AS IS" and may contain errors or inaccuracies.
You acknowledge that:
- Translations may be incorrect or culturally inappropriate
- You must verify translations before use
- Promomax.ai is not responsible for damages caused by translation errors
For legal or critical content, professional human translation is recommended.
9. Third-Party Services & Integrations
Promomax.ai integrates with third-party platforms and services.
We are not responsible for:
- Availability or reliability of third-party services
- Changes to third-party APIs or policies
- Third-party account suspensions or restrictions
- Actions taken by social media platforms
Your use of third-party services is governed by their terms.
10. Music & Media Licensing
Promomax.ai may provide access to media libraries; however:
- Licenses may not cover all uses
- You are responsible for ensuring proper licensing
- Promomax.ai does not guarantee suitability for commercial or public use
You assume all risks related to music and media usage.
11. Subscriptions, Payments & Auto-Renewal
Paid subscriptions auto-renew unless canceled before renewal.
You agree that:
- Fees are non-refundable except where required by law
- Payment will be charged automatically
- Pricing may change with prior notice
- Failed payments may suspend service
You may manage subscriptions through your account or the App Store / Google Play.
11b. 7-Day Free Trial Policy
From time to time, PROMOMAX.AI may offer a 7-day free trial of paid subscription plans. The following terms govern all free trials:
- A valid payment method is required to start a free trial. You will not be charged during the trial period.
- At the end of the 7-day trial period, your subscription will automatically convert to a paid subscription and your payment method will be charged at the applicable plan rate, unless you cancel before the trial ends.
- To avoid being charged, you must cancel your subscription before the trial period expires. Cancellation instructions are available in your account settings or by contacting support@promomax.ai.
- Free trials are available one time per customer. Creating multiple accounts to obtain additional free trials constitutes fraud and may result in account termination and legal action.
- PROMOMAX.AI reserves the right to verify eligibility and revoke trial access if abuse is detected.
- Trial availability, duration, and terms may change at any time without prior notice.
By starting a free trial, you authorize PROMOMAX.AI to charge your payment method the applicable subscription fee upon trial expiration if you do not cancel in time.
12. Termination
You may cancel your account at any time. Promomax.ai may suspend or terminate access if:
- You violate these Terms
- Your account is used fraudulently
- Payments fail repeatedly
Data handling upon termination follows our Privacy Policy.
13. Disclaimer of Warranties
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, including:
- Accuracy or reliability
- Fitness for a particular purpose
- Uninterrupted or error-free operation
14. Limitation of Liability
To the maximum extent permitted by law, Promomax.ai shall not be liable for:
- Indirect or consequential damages
- Lost revenue, profits, or data
- Content errors or AI output
- Platform bans or account restrictions
Total liability shall not exceed the amount paid by you in the previous 12 months.
15. Indemnification
You agree to indemnify and hold harmless Promomax.ai, its owners, employees, and affiliates from any claims, damages, losses, or legal expenses arising from:
- Your use of the Service
- Content you publish
- AI-generated content you approve
- Intellectual property violations
- Platform or legal claims
16. Usage Limitation – Single Business Per Account
The "unlimited posts" feature is provided for use by a single business or client per account.
Each account is intended for use by one customer to promote one business only. Users are not permitted to use a single account to create, manage, or promote content for multiple businesses, clients, or third parties.
If a user wishes to manage or promote additional businesses or clients, a separate account must be created for each business.
We reserve the right to monitor usage and take appropriate action, including suspension or termination of accounts, in cases where this policy is violated.
17. Dispute Resolution & Arbitration
Any dispute shall be resolved by binding arbitration, except where prohibited by law. You waive the right to jury trials and class actions.
18. Governing Law
These Terms are governed by the laws of the jurisdiction in which Promomax.ai operates, without regard to conflict-of-law principles.
19. Changes to Terms
We may update these Terms at any time. Continued use after changes constitutes acceptance.
20. Severability
If any provision is found unenforceable, the remaining provisions remain in full effect.
21. Entire Agreement
These Terms and the Privacy Policy constitute the entire agreement between you and Promomax.ai.

LEGAL LANGUAGE NOTICE
The English version of these Terms is the legally binding version. Any translations are provided for convenience only.
23. Continuous Autopilot — AI Content Authorization & Liability Waiver
PromoMax offers a "Continuous Autopilot" feature that allows customers to authorize the automatic generation, scheduling, and publishing of AI-generated marketing content to their connected social media accounts on an ongoing monthly basis.
23.1 Automatic Content Generation and Publication
By enabling Continuous Autopilot, the customer authorizes PromoMax to automatically generate, schedule, and publish AI-generated marketing content to their connected social media accounts on an ongoing monthly basis, without requiring the customer's review, approval, or intervention before each post is published.
23.2 AI-Generated Content Disclaimer
The customer understands that all content is generated by artificial intelligence (AI) and may contain errors, inaccuracies, omissions, or material that the customer would not have personally selected or approved. AI-generated content is inherently unpredictable and may occasionally produce outputs that are incorrect, inappropriate, or inconsistent with the customer's brand or business.
23.3 Assumption of Full Responsibility
The customer assumes full and complete responsibility for all content published to their social media accounts through Continuous Autopilot, including any content that contains errors, inaccuracies, or material that the customer would not have personally approved. It is the customer's responsibility to monitor and review the content published to their accounts and to delete or remove any posts that they find objectionable.
23.4 Waiver of Pre-Publication Review
The customer knowingly and voluntarily waives their right to review content before it is published. The customer understands that once enabled, Continuous Autopilot will generate and publish content automatically each billing cycle without any action required on their part.
23.5 No Liability for PromoMax
PROMOMAX.AI, its owners, employees, contractors, affiliates, and partners shall not be held liable for any damages, losses, or harms arising from or related to AI-generated content published through Continuous Autopilot, including but not limited to: reputational damage, loss of business, loss of followers or engagement, account suspension or termination by social media platforms, legal claims by third parties, or any other direct, indirect, incidental, special, or consequential damages.
23.6 As-Is Service
The Continuous Autopilot service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to warranties of accuracy, fitness for a particular purpose, or non-infringement.
23.7 Right to Pause or Disable
The customer may pause or disable Continuous Autopilot at any time from their PromoMax dashboard. Pausing will prevent future automatic generation and publication but will not affect content already published.
23.8 Post-Publication Removal
The customer understands that they can access their social media accounts directly at any time to delete or remove any posts published by Continuous Autopilot that they do not wish to keep. PromoMax is not responsible for monitoring or removing published content on the customer's behalf.
23.9 Billing Cycle Trigger
The customer understands that Continuous Autopilot generates and publishes new content on the day their subscription payment is successfully processed each billing cycle. If a payment fails, no new content will be generated until payment is successful.
23.10 Indemnification
The customer agrees to indemnify and hold harmless PromoMax from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from content published to their social media accounts through Continuous Autopilot.
23.11 Acknowledgment & Initials
By enabling Continuous Autopilot, the customer confirms through a checkbox acknowledgment and typed initials that they have read, understood, and agree to all terms outlined in this Continuous Autopilot Authorization & Liability Waiver. This acknowledgment is recorded with a timestamp and the customer's initials.
AI tools, Google Business management, and autopilot
All PromoMax tools, including SEO, AI visibility, website content, social publishing, photos, review replies, and automated profile updates, provide services and informational measurements, not promised outcomes. We do not guarantee rankings, number-one positions, indexing, visibility, improvement, calls, traffic, leads, sales, revenue, or results within any timeframe. Scores are our own measurements, not Google scores or promises.
Enabling an autopilot feature authorizes generation and publication to the connected accounts within the selected settings without approving each item. AI can make factual, tone, intellectual-property, privacy, or compliance mistakes. You must have authority to manage the business, supply accurate information, and accept responsibility for content and actions you authorize, including monitoring published material and removing unsuitable content. Illustrations are not evidence of real jobs, staff, premises, customers, or results. Google verification and genuine customer reviews cannot be fabricated or bypassed.
Automation depends on third-party access, policies, processing times, and service limits. You can switch off autopilot or choose manual approval; disabling does not remove already published material. These disclosures do not waive non-waivable consumer rights or exclude liability where prohibited by law.
